    New contract - direct for client vs. currently via agency

    Hello all,

    I am about to take on my second contract role and could do with some guidance:

    My current contract was found via. a recruitment consultant. A "Personal service company agreement" was draughted up by the agent between my limited company and theirs to offer services of project engineering to the client. As such this was quite a formal document with various terms and conditions enclosed - as well as an approximate contract duration and day rate etc.

    Now the new contract I am planning to take is not via. a consultant and I will be billing the client for my time directly. They've not really got an agreement template as described above which includes the various T&C's, right of substitution etc. From what they tell me I'd more or less just invoice them for my time at the end of each month. Although they have said they'd be happy to put together an agreement, they also asked me if I had any terms and conditions I would want to add.

    I'm not really sure what to expect from them, obviously a commitment that they require my services for a duration of time and an agreed price for my time but other than this what else do you think I need to have in place?

    Also conscious of IR35 and want to make sure I am compliant with off pay-roll working guidelines - I previously paid for a contract review service with QDOS, would it be worth doing the same with the 'simplified' agreement from the new client?

        Have you checked for a handcuff clause from your current agent?

          Thanks for replies. I ended up choosing a QDOS template. Just waiting for feedback from client on it.
