Limited Company Address

    Limited Company Address

    I started a new Ltd Co on 1st Jan with my wife as Co Sec - I'm a Consultant working at a Client and only use home for registered office purposes and mail. Forming the company happened just prior to us moving into temporary rented accommodation for a 6 month period whilst we source a more permanent place to buy for us and the little one when it arrives soon.

    So far I haven't changed the address formally with anyone (eg Companies House, HMCE, Bank, etc.), just used the Royal Mail redirection service, until we move again in a few months' time. The reason for this is that - strictly speaking - we may be breaking the terms of our Lease Agreement, one of the conditions being that we are "to use the premises for the purposes of a private residence only in the occupancy of the Tenant and not for business purposes".

    Having said that I think it's doubtful whether the Letting Agent or Landlord would ever know, but are we breaking any rules by - even if for a 6 month period - not really using the company's registered office address?

    Depends if the people who now occupy the old house get miffed if a solicitor or inspector call round to serve papers!

      You could just register your company address at your accountants. dead easy.

        Or one of these company secretary specialists. They can do mail forwarding and other useful services for you as well.

          I think you're breaking more rules by not informing companies house of the change of address!

          A 'friend of mine' (ahem) is in rented at the mo and uses that as the registered address.

            If you carry on using your old address it might work OK in practise, but you should be careful because beyond your redirection period any company communications will rever to your old address and you might become a victim of company hijacking. Also, think about any VAT or tax inspections.

              In your case I would use my accountants address to register a company. He/She will forward you all the post to your address. this will be a lot hassel free !!!

                Setting up a new LTD withou adress

                Hi,

                I am interested by this problem because I would like to take my new contract in UK and setup my own company ( I am French and work in Belgium through an umbrella right now ).

                The thing is I have to do things in order :

                1/ Find a contract
                2/ Open my company
                3/ Open a Bank account for my company

                During this time I would have a temporary address (B&B, friend, furnished flat ...) .

                I sent a mail to SJDAccountancy as everybody here seems to be satisfied of their quality of service and got a simple answer that they cannot do anything for me as I cannot setup my company address at their address. Even if I could , I couldn't open a personal Bank account before I could have a permanent address in the UK.

                Do you know a good account company which offers the same level of service as SJDAccountancy but which :

                - offers an address to setup your LTD with mail forwarding
                - has arrangements with Banks to help you setup your account before you arrive to the UK and start working

                I am very surprised as opening an account in Belgium was very easy : I started the process online and had to show my rental agreement to finalise the process and have my debit card : thaht's all !

                    UK banks are very picky about opening accounts for non-UK residents. If you have a reasonable sum of money (~£5000) to deposit then that might smooth things over.
