Can someone please tell me exactly what a company secretary does, and what legal duties they have towards the company? I have created my own limited company and need to appoint a secretary. I don't want them to actually do anything. I'm using SJD for my accounts.
I'm trying to convince my flatmate to be the secretary, but he is a bit aprehensive, as he doesn't want to be held responsible for the company.
