    New contract - advice please.

    Been offered a role through an agent based in EU and client's office is also located in same country.

    Already have a UK Ltd setup. Intention is to WFH and travel as required to Client's office, subcontractors office in UK, and subcontractors manufacturing facility outside EU.

    Initially agreed a rate in Euro, reviewed contract and is well outside IR35. Asked whether I could invoice in GBP to keep accounts simple. Response from agent was yes but it would be subject to a processing fee via their UK entity.

    Have since received 2 contracts from another UK Ltd representing the agent, one to me personally and the other to my Ltd. Notably no right of substitution or MOO stated in either.

    While I'm not new to running a UK Ltd this approach seems unusual. Am I right to be concerned?

    Might be worth mentioning the country as each has different laws. Other contractors that have worked in that country can then help.

      This is what has jumped out at me. If it's contracting with you personally and not with your Ltd, would that mean your liability wouldn't be limited?

      I don't know the answer.

      As for the substitution and MOO above, have they then sent you contracts that are different from what you had reviewed?
